On Monday, May 18, 2026, documents finalizing the process of establishing the company’s target ownership structure were signed at Huta Częstochowa. Following approval from the president of the Office of Competition and Consumer Protection (UOKiK) and the closing of the transaction, the Military Property Agency and Węglokoks are taking up shares in Huta Częstochowa.

Under the adopted model, Węglokoks will hold 50.1 percent of the shares, while the Military Property Agency will hold 49.9 percent. The signing of the documents concludes a multi-stage process that began with Węglokoks leasing the assets of Huta Częstochowa on November 20, 2025, and then included the purchase of the plant’s assets by the State Treasury, represented by the Ministry of National Defence, and their transfer to the Military Property Agency (Poland’s Ministry of Defence has purchased Huta Częstochowa).
In addition, a working capital financing agreement worth 100 million PLN was signed between the Industrial Development Agency and Huta Częstochowa. The funds will be allocated to the plant’s day-to-day operations, including the purchase of raw materials and materials supporting the development of steel production.
The existing lease model is being replaced by a permanent ownership structure, which strengthens the stability of the steelworks’ operations and lays the foundation for the plant’s further development.
„This is a very important moment for Huta Częstochowa, but also for the entire Węglokoks Group. The process, which we began by securing the continuity of the plant’s operations and restoring its production potential, is today moving into its next, target stage. Huta Częstochowa now has a stable ownership structure, which creates normal conditions for the enterprise’s operation and allows us to think about its development in the longer term. It is also an important milestone in the development of the Węglokoks Group’s steelmaking segment,” said Tomasz Ślęzak, president of the management board of Węglokoks.

Huta Częstochowa is an important element of the Węglokoks Group’s strategy through 2030, under which the steel segment is to become its main pillar of activity. Węglokoks’ strategy provides for the development of the steel segment and the strengthening of its portfolio of industrial assets.
„A new stage is opening for Huta Częstochowa, focused on developing production and strengthening its position in segments of major industrial importance. The plant has capabilities that make it possible to consider broader use of its potential in the field of specialist products, including armor plate and other products for the defense industry. At the same time, we are analyzing opportunities related to preparing the steelworks to participate in projects for the nuclear power sector, which require the highest standards of quality, certification and production repeatability. These are directions that fit well with both the Węglokoks Group’s strategy and the needs of Polish industry,” emphasized Adrian Sienicki, president of the management board of Huta Częstochowa.
Huta Częstochowa holds a license from the Minister of the Interior and Administration for the production and trade of products and technologies intended for military and police use. This is crucial from the perspective of the tasks set for the Military Property Agency by the minister of national defence in connection with the management of the company’s assets (Poland: Huta Częstochowa obtains license to manufacture and trade in military and police products).
„Our task is primarily to strengthen the part of production related to defense. We will have an influence on it through appropriate representation in the company’s governing bodies. We want to participate in innovative, modern projects, including the production of the Borsuk IFV, the Rosomak APC and missile frigates under the Ratownik and Miecznik programs,” said Marcin Horyń, president of the Military Property Agency. „We see the greatest opportunity to strengthen the security of Polish citizens in using local potential, through cooperation with entities such as the Polish Armaments Group. Steel from Huta Częstochowa will shorten the supply chain and reduce dependence on imports,” he emphasized

The finalization of the ownership process opens a new stage related to the further development of the plant’s production capabilities and the strengthening of its position as one of the key industrial assets in the Węglokoks Group’s developing steel segment. The plant is to play an important role in building an integrated value chain within the Group’s steelmaking pillar: from the production of steel semi-finished products to their further use in plants belonging to the Group.
Huta Częstochowa for the Defense Industry
Since November 20, 2024, the steelworks had been owned by the Węglokoks Group, which took over the bankruptcy estate of Liberty Częstochowa, the owner since 2021, and then began the process of rebuilding the plant’s production capabilities. In December 2024, a cold start-up of the steelworks and rolling mill was carried out; on January 10, 2025, the first trial melts were performed; and ten days later, the steelworks resumed its full production cycle. During its first year of operation, the plant produced 260,000 metric tons of steel and delivered more than 239,000 metric tons of steel plate to customers in Poland and abroad, while also beginning to accept orders for delivery in 2026. At the time, it was reported that talks with PGZ had begun.
On February 11, 2025, the Council of Ministers added the steelworks to the list of strategic enterprises. This paved the way for special state powers, including the Ministry of National Defence’s right of first refusal. On February 17, a tender for the sale of the steelworks’ assets was to be held at the Regional Court in Częstochowa. The bankruptcy trustee adjourned the session and asked whether the State Treasury wished to purchase the plant directly, without a tender, due to its strategic status. On March 10, the Ministry of National Defence submitted a letter to the court expressing its intention to exercise the right of first refusal.
