The Supervisory Board passed a resolution appointing Marek Karabuła as Vice President of the PGZ Management Board with effect from July 1, 2026. In accordance with the company’s Articles of Association, the candidate received a positive opinion from the Minister of State Assets and the Minister of National Defence.

The competition for the position of Vice President of the Polish Armaments Group Management Board had been underway since May 19 of this year, following the resignation with immediate effect of the then-Vice President Marcin Idzik on April 16 of this year.

Marek Karabuła is a manager with extensive and diverse experience of over 30 years in managing companies in the gas, oil, machinery, and FMCG sectors, including publicly listed companies. He specializes in managing State Treasury companies and structures of global corporations. Marek Karabuła has also held managerial positions in strategic companies such as TAURON Polska Energia and the Polish Oil and Gas Company (PGNiG), where he was responsible for the growth of hydrocarbon production and the execution of strategic investments. Previously, within the Orlen Group, he was responsible for the consolidation of southern assets. He is a graduate of the Kraków University of Economics and has passed the examination for candidates for supervisory board members of State Treasury companies. With effect from August 19, 2024, he was appointed President of the Management Board of Zakłady Mechaniczne Tarnów, and with effect from September 1, 2025 until today he served as President of the Management Board of Huta Stalowa Wola (HSW).

On June 26, 2026, the Annual General Meeting of Shareholders of the Polish Armaments Group appointed Marek Zaleśny, currently Vice President of the Management Board of the Industrial Development Agency (ARP), as a new member of the PGZ Supervisory Board.

Marek Zaleśny is a manager with nearly 30 years of experience in managing large organizations in the logistics, commercial, and investment sectors. His competencies center around development strategy, corporate transformation, investment project management, and the effective conduct of restructuring processes. For many years he has served as President or Board Member in companies of strategic importance for the Polish and international economy.

As a Board Member of Ukrainian Railways, he was responsible for freight transport, logistics, and the implementation of tariff reforms, as well as initiating a rolling stock renewal program. As a Commercial Board Member of PKP Cargo, he co-created the restructuring strategy and played a significant role in preparing the company for its stock exchange debut on the Warsaw Stock Exchange (GPW). At CTL Logistics, he was responsible for commercial development and international expansion, while as President of CTL Kolzap he built from scratch the transport and forwarding operations serving the Azoty Group. For many years he was also active in supervisory bodies, serving on the supervisory boards of PKP Cargo International, Euroterminal Sławków, CTL Kolzap, Cargospeed, and Koksownia Zdzieszowice.

He is a graduate of the Silesian University of Technology in Gliwice, where he studied nuclear energy, and has also completed postgraduate studies in business management. As Vice President of the ARP Management Board, he is responsible for the investment area. He focuses on strengthening the value of the ARP Capital Group through restructuring and developing portfolio companies, supporting strategic investments, and building synergies between entities within the Group.
