On Wednesday, January 14, 2026, the Warsaw-based company PIT-Radwar, part of Polish Armaments Group (PGZ), published information confirming the completion of its acquisition of Military Communications Works No. 2 from Czernica. The intention to acquire the company (which is also a part of PGZ) was announced on July 16, 2023.

Pursuant to Article 508 of the Polish Commercial Companies Code, the Management Board of PIT-Radwar Spółka Akcyjna, headquartered in Warsaw (KRS 0000297470), announced that the District Court for the Capital City of Warsaw, 14th Commercial Division of the National Court Register, by decision dated December 29, 2025 (case ref. WA.XIV NS-REJ.KRS/066456/25/900), entered into the National Court Register the merger of PIT-Radwar S.A. (as the acquiring company) and Wojskowe Zakłady Łączności Nr 2 S.A. with its registered office in Czernica (as the acquired company). The merger was effected by the transfer of all assets of WZŁ-2 to PIT-Radwar, pursuant to Article 492 §1(1) of the Commercial Companies Code (merger by acquisition).
According to the Merger Plan, the transaction will result in an increase of PIT-Radwar’s share capital from 459,651,130 PLN to 472,598,840 PLN, that is by 12,947,710 PLN, through the issuance of shares allocated to the shareholders of WZŁ-2. As part of the merger issue, PIT-Radwar will issue 1,294,771 registered ordinary Series I shares, each with a par value of PLN 10, for a total nominal value of 12,947,710 PLN.
As stated in a press release by WZŁ-2, pursuant to Resolution No. 3 of October 30, 2025 adopted by the Extraordinary General Meeting of Shareholders of Wojskowe Zakłady Łączności Nr 2 S.A. in Czernica, approval was granted for the merger with PIT-Radwar.
