On Sunday, June 21, 2026, Prime Alternatywna Spółka Inwestycyjna signed a shareholders’ agreement and an investment agreement with Valeza Capital Group and Armaments Munition Company regarding the establishment and development of the special purpose vehicle AMC Polish Arsenal. The aim of the cooperation is to create a professional investment, industrial, and technological platform for defense/dual-use projects. The first project being analyzed by the parties is The Stables – an undertaking concerning the construction of new production capabilities in the area of large-caliber M107 family ammunition, with a volume of up to 160,000 rounds per year. The investment is located in Słupia Konecka in Świętokrzyskie Voivodeship.

The agreement defines the roles of the parties, the principles of staged financing, governance, compliance, expenditure control, intellectual property, technical documentation, and regulatory security. The project will be implemented in compliance with all legally required permits, concessions, authorizations, certifications, and administrative decisions.
“This is a key moment in the development of Prime ASI. Recently, we changed our investment policy, adding the defense/dual-use sector as one of the possible investment directions. Today’s agreement is a firm confirmation of this direction. We see an enormous need to strengthen the private defense sector in Poland, but we want to do so in a responsible, transparent manner, in line with capital market standards,” said Michał Ręczkowicz, President of the Management Board of Prime ASI.
Prime ASI assumes that defense/dual-use projects may in the future become one of the important pillars of the company’s development, alongside technology investments and projects utilizing artificial intelligence. The company sees the potential for AI applications in the defense industry as well – in particular in the areas of production planning and automation, quality control, data analysis, process safety, logistics, and systems supporting industrial project management.
“This is just the beginning. Our plans are much broader than a single project. We want to build competencies, structure, and partnerships that will allow Prime ASI to participate in the development of modern strategic industry. Poland needs private capital, technology, and an efficient model of cooperation between business, industry, and public administration,” added Michał Ręczkowicz.
Armaments Munition Company brings to the project industry, technical, operational, and regulatory competencies, including know-how related to technical documentation, industrial processes, supply chains, and defense sector relationships.

In our assessment, the Polish defense sector needs projects implemented in a professional manner, with full respect for regulatory, quality, and safety requirements. Armaments Munition Company, as part of AMC Global Group and an active participant in domestic defense industry initiatives, has over the past twelve months built relationships with potential customers, developed a supplier network, and developed the necessary production technologies. The company has also selected a preferred location for new production facilities, conducted an analysis of key infrastructure, environmental, and regulatory conditions, and secured land with a total area exceeding 12 hectares. The results of the analyses conducted were assessed by the company as satisfactory and confirm the feasibility of implementing the project in accordance with the adopted assumptions. The venture is being developed in a manner ensuring full compliance with the expectations and needs of key participants in the Polish defense sector, supporting the development of domestic production capabilities and strengthening the security of strategic supply chains,” said Dr. Przemysław Kowalczuk, President of the Management Board of Armaments Munition Company.
Valeza Capital Group is to support the venture in the area of international defense sector relations, sales and supply organization, and the business environment of the project.

Prime ASI is also conducting activities related to a private share issue of up to 25 million PLN. The company intends to allocate a significant portion of the funds raised to the development of defense/dual-use sector projects, in accordance with the adopted strategy, decisions of the company’s governing bodies, and issue documents.
